Corporate Transactions - Drafting to Minimize Litigation Risks
This program will address key areas in corporate documents which give rise to litigation risks, and tips on how to draft to minimize these risks. The presentation will be based on errors frequently encountered by commercial litigators retained in disputes arising from corporate transactions. Topics of discussion will include: representations, warranties and disclaimers, liquidated damages clauses, protections against fraud, “entire agreement” clauses, choice of law and forum selection clauses, valuation clauses, shareholder termination clauses, dispute resolution clauses, non-solicitation clauses and non-competition clauses and key-man and performance clauses.
